Welcome to ActiveCart! By selling products on our platform, you agree to comply with the following Seller Policy ("Policy"). This policy outlines the rules and responsibilities that govern your use of ActiveCart’s marketplace as a seller. Please read this policy carefully, as it ensures a safe, transparent, and efficient experience for both sellers and buyers.

If you do not agree with these terms, you should discontinue selling on ActiveCart immediately.

1. Seller Eligibility and Registration

1.1 Eligibility

To sell products on ActiveCart, you must:

• Be at least 18 years of age.
• Provide accurate, current, and complete information during the registration process.
• Maintain an active business license, where required by law.

1.2 Account Registration

When registering as a seller, you agree to:

• Provide accurate and up-to-date personal, business, and payment information.
• Keep your account details (including your username and password) secure and confidential.
• Be responsible for all activities conducted under your account.

We reserve the right to refuse or terminate your seller account if you provide false or misleading information or violate our Seller Policy.

2. Product Listings

2.1 Product Quality and Accuracy

Sellers must provide accurate, truthful, and comprehensive information for each product listed, including:

• Product titles, descriptions, specifications, and images.
• Pricing, availability, and stock levels.
• Any disclaimers or warnings relevant to the product (e.g., health risks, warranties, or guarantees).

Misleading or inaccurate product descriptions may result in the suspension or removal of your seller account.

2.2 Prohibited Products

ActiveCart prohibits the sale of certain items, including but not limited to:

• Illegal, counterfeit, or stolen goods.
• Hazardous materials or dangerous goods.
• Items that infringe upon intellectual property rights.
• Weapons, drugs, and other regulated or restricted items (e.g., tobacco, alcohol).
• Products that violate local, national, or international laws.

2.3 Intellectual Property

You are responsible for ensuring that all products listed for sale do not infringe on any intellectual property rights, including copyrights, trademarks, and patents. If we receive a valid complaint regarding intellectual property infringement, we may remove the relevant listings or suspend your account.

3. Pricing and Payments

3.1 Pricing

Sellers are responsible for setting the prices of their products, but they must ensure that pricing is:

• Transparent and clearly displayed.
• In compliance with applicable local, national, or international pricing laws.

Price gouging (inflating prices excessively during emergencies) is strictly prohibited. ActiveCart reserves the right to remove listings or take action against sellers engaging in unfair pricing practices.

3.2 Payments

ActiveCart handles the processing of payments for orders placed through the platform. You agree to:

• Provide accurate banking or payment information for receiving funds.
• Accept that payments may take 7-10 business days to be processed and transferred after an order is completed.
• Comply with ActiveCart's commission and fees structure, which will be clearly communicated to you.

4. Order Fulfillment and Shipping

4.1 Order Processing

Sellers must process and ship orders in a timely manner. It is your responsibility to:

• Confirm and ship orders within the agreed processing time listed on the product page.
• Ensure that all items are packaged securely and include any necessary documentation (e.g., manuals, receipts).

Failure to fulfill orders in a timely and professional manner may result in account suspension or penalties.

4.2 Shipping and Delivery

Sellers must:

• Use reputable shipping carriers and provide valid tracking information for all shipments.
• Ensure the product is delivered within the estimated delivery time provided on the product page.
• Communicate any shipping delays or issues with the buyer as soon as possible.

Free shipping offers should be clearly stated on the product page if applicable.

4.3 International Shipping

If you offer international shipping, you are responsible for:

• Accurately stating any additional shipping costs, customs fees, or taxes.
• Complying with all customs regulations, documentation, and procedures.

5. Returns, Refunds, and Cancellations

5.1 Returns and Refunds

Sellers must establish a clear and fair return policy in line with ActiveCart’s Return Policy. Your return policy should:

• Clearly specify return windows, conditions, and any associated costs (e.g., restocking fees).
• Accept returns and process refunds promptly when the return request is in accordance with the established policy.

ActiveCart may intervene in disputes between buyers and sellers, and failure to comply with our guidelines may lead to refunds being issued at the seller’s expense.

5.2 Cancellations

If a buyer requests an order cancellation before the item has been shipped, you must comply with the request and provide a full refund. Failure to do so may result in ActiveCart issuing the refund on your behalf and recovering the funds from your account.

6. Seller Performance and Compliance

6.1 Seller Performance Standards

ActiveCart monitors seller performance to ensure a positive experience for buyers. As a seller, you are expected to:

• Maintain a high order fulfillment rate.
• Avoid frequent order cancellations or shipping delays.
• Respond promptly to customer inquiries and complaints.
• Maintain a positive feedback rating.

If your performance consistently falls below our minimum standards, your seller account may be suspended or terminated.

6.2 Compliance with Laws

You agree to comply with all local, national, and international laws and regulations regarding the sale and distribution of your products. This includes, but is not limited to, consumer protection laws, tax laws, and import/export regulations.

7. Feedback and Reviews

7.1 Buyer Feedback

ActiveCart allows buyers to leave reviews and feedback on your products and services. You agree to:

• Accept buyer feedback and not attempt to manipulate, remove, or alter it.
• Resolve disputes with buyers professionally.

Abuse of the review system, such as incentivizing positive reviews or submitting false reviews, is strictly prohibited.

7.2 Seller Disputes

If you believe that a review or feedback is fraudulent or violates ActiveCart’s policies, you may report it to us for review. However, ActiveCart retains the sole discretion to remove or leave reviews.

8. Account Suspension and Termination

8.1 Suspension

ActiveCart reserves the right to suspend your seller account if you:

• Violate any of the policies outlined in this document.
• Fail to meet minimum performance standards.
• Engage in fraudulent activities or illegal practices.

8.2 Termination

Your seller account may be terminated if the violations are severe or repeated. In the event of termination, you will no longer have access to your account, and any outstanding payments due will be settled according to ActiveCart’s policies.

9. Fees and Commissions

Sellers on ActiveCart are subject to platform fees and commissions on each sale. The details of the fee structure will be provided upon registration and may vary based on product categories, promotions, or service tiers. ActiveCart reserves the right to modify the fee structure, but any changes will be communicated to sellers in advance.

10. Intellectual Property and Licensing

By listing products on ActiveCart, you grant us a non-exclusive, royalty-free license to use, copy, and display product images, descriptions, and related content for promotional and operational purposes. You also warrant that you have the legal right to use and distribute any images, descriptions, or content you provide.

11. Limitation of Liability

To the fullest extent permitted by law, ActiveCart shall not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or damage to reputation. ActiveCart’s total liability to the seller for any claim arising from this agreement shall not exceed the total fees paid by the seller in the preceding six months.

12. Changes to Seller Policy

ActiveCart reserves the right to update or amend this Seller Policy at any time. Any changes will be communicated to you via email or through our platform, and continued use of the seller account will constitute acceptance of the revised policy.
